Terms & Conditions
These Terms and Conditions govern your use of the ActiveCool Fashion website and the purchase of products and services from Active Cool Fashion Pte. Ltd. (“ActiveCool”, “we”, “us” or “our”).
By using this website, accepting our quotation, issuing a purchase order, paying a deposit or confirming an order, you agree to these Terms and Conditions. Any separate quotation, contract, purchase order or written agreement accepted by ActiveCool will form part of the agreement. If there is any inconsistency, the separately agreed written terms will take priority.
1. Our Products and Services
ActiveCool provides customised apparel, uniforms, workwear, protective apparel, bags and other textile-related products and services.
Product images, colours and information on this website are provided for general reference. Actual appearance may vary slightly due to screen settings, fabric batches, material availability and production processes.
Unless expressly stated otherwise, website content does not constitute a binding quotation or guarantee that a product, material or service is available.
2. Quotations and Orders
All quotations are subject to their stated validity period, material availability and final confirmation by ActiveCool.
An order is confirmed only after we have received the required written approval, purchase order, deposit or full payment, as applicable.
Customers are responsible for checking all details before approval, including:
- Product design and specifications
- Quantity and size breakdown
- Measurements and fitting
- Fabric, colour and components
- Logo, artwork and spelling
- Printing or embroidery size and placement
- Packing and delivery requirements
Changes requested after approval may result in additional charges and revised delivery timelines.
3. Samples and Approvals
Samples, artwork, mock-ups, colour swatches and pre-production samples are provided for evaluation and approval.
Once a sample or specification has been approved, production will generally follow the approved reference. Minor commercially acceptable variations may occur between samples and mass production due to fabric batches, dyeing, printing, embroidery and manufacturing processes.
Where exact colour, performance or measurement requirements apply, these must be stated and agreed in writing before order confirmation.
4. Customised Products
Most ActiveCool products are made or modified according to customer requirements. Confirmed customised orders cannot normally be cancelled, returned or exchanged because of a change of mind, incorrect quantity, incorrect size selection or an error in information approved by the customer.
If cancellation is accepted before production is completed, the customer remains responsible for work already performed, materials purchased, third-party costs and other reasonable expenses incurred.
This section does not affect any rights or remedies that cannot lawfully be excluded.
5. Pricing and Payment
Prices are stated in Singapore dollars unless otherwise indicated. GST, delivery, testing, sampling and other charges will be included or stated separately where applicable.
Payment must be made according to the terms shown in our quotation, invoice or contract. ActiveCool may suspend production or delivery if payment is overdue.
Any bank charges, currency-conversion fees, duties, taxes or import charges outside Singapore are the customer’s responsibility unless otherwise agreed in writing.
6. Shipping and Delivery
Delivery dates are estimates unless a firm date has been expressly agreed in writing. Production and delivery timelines begin only after all required approvals, information, samples and payments have been received.
Delivery may be affected by material availability, approval delays, testing, production changes, freight conditions, customs clearance, weather and events beyond our reasonable control.
Customers must provide a complete and accurate delivery address and ensure that an authorised person is available to receive the goods. Additional costs caused by an incorrect address, failed delivery or requested redelivery may be charged to the customer.
For overseas deliveries, customs duties, import taxes, permits and local clearance requirements are the customer’s responsibility unless otherwise agreed.
Customers should inspect all cartons and goods promptly upon delivery. Any visible shortage, incorrect item, damage or defect should be reported to us within seven calendar days, together with the relevant order number, quantity affected, photographs and supporting details.
Failure to report a reasonably discoverable issue within this period may affect our ability to investigate the claim, but does not exclude any mandatory statutory rights.
7. Returns, Exchanges and Refunds
Customised, personalised, printed, embroidered, altered or made-to-order products cannot be returned or exchanged for change of mind.
A return or remedy may be considered where goods:
- Are materially different from the approved specification;
- Are supplied in the wrong product or quantity;
- Contain a manufacturing defect; or
- Arrive damaged due to circumstances for which ActiveCool is responsible.
Customers must contact us before returning any goods. Unauthorised returns may not be accepted.
Where a claim is accepted, ActiveCool may, depending on the circumstances:
- Repair or alter the affected goods;
- Replace the affected goods;
- Reproduce the affected quantity;
- Offer an appropriate price reduction or credit; or
- Provide a refund where repair or replacement is not reasonable or possible.
Refunds, where approved, will generally be made through the original payment method or another mutually agreed method. Delivery, sampling, artwork and other completed service charges are not refundable unless they relate directly to an accepted claim.
Normal wear and tear, misuse, improper storage, incorrect washing, unauthorised alteration, customer-supplied materials and damage occurring after delivery are not considered manufacturing defects.
Nothing in this policy excludes or limits rights available to consumers under applicable Singapore law.
8. Product Warranty
Unless a different written warranty is provided, ActiveCool warrants that products will materially conform to the approved specification and be free from manufacturing defects at the time of delivery.
Claims for defects that are reasonably discoverable upon inspection should be submitted within seven calendar days of delivery. Latent manufacturing defects should be reported promptly after discovery, with photographs, usage details and washing or care information where relevant.
Warranty coverage does not apply to:
- Normal wear and tear;
- Damage caused by misuse, accident or neglect;
- Improper washing, drying, ironing or storage;
- Failure to follow care instructions;
- Unauthorised repair or alteration;
- Natural fading, shrinkage or material variation within an agreed or commercially acceptable tolerance;
- Damage caused by chemicals, abrasion, excessive heat or unsuitable working conditions; or
- Materials, artwork or specifications supplied or required by the customer.
ActiveCool may inspect or request the return of affected products before determining the appropriate remedy. Our responsibility will generally be limited to the affected products or affected quantity.
Specific performance claims, including flame resistance, water resistance, visibility, antibacterial properties or other protective features, apply only where expressly stated and supported by the agreed specifications or relevant test documentation.
9. Customer-Supplied Artwork and Materials
The customer confirms that it owns or has permission to use all logos, artwork, trademarks, designs and other materials supplied to ActiveCool.
The customer is responsible for ensuring that such materials do not infringe any third-party rights. ActiveCool may refuse content that appears unlawful, offensive or infringing.
Customer-supplied garments or materials are processed at the customer’s risk unless otherwise agreed. We are not responsible for hidden defects, material incompatibility or damage arising from the characteristics of customer-supplied items, except where caused by our failure to exercise reasonable care.
10. Intellectual Property
All website content, including text, graphics, photographs, layouts and logos, is owned by or licensed to ActiveCool and may not be reproduced or used commercially without written permission.
Unless ownership is expressly transferred in writing, ActiveCool retains its rights in production methods, patterns, technical solutions, templates and development work created by us.
We will not publicly display customer names, logos or confidential project information without permission, except where the information is already public or disclosure is legally required.
11. Website Use
You must not misuse this website, attempt unauthorised access, introduce malicious code, interfere with its operation or use its content unlawfully.
Links to third-party websites are provided for convenience. ActiveCool is not responsible for their availability, content, security or privacy practices.
We may update, suspend or withdraw any part of this website without prior notice.
12. Limitation of Liability
To the fullest extent permitted by law, ActiveCool will not be liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, opportunity, goodwill or anticipated savings.
For business transactions, ActiveCool’s total liability arising from an order will generally not exceed the amount paid for the affected products or services, except where liability cannot lawfully be excluded or limited.
Nothing in these Terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under Singapore law.
13. Events Beyond Our Control
ActiveCool will not be responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, war, civil disturbance, epidemics, government action, port congestion, freight disruption, customs delays, labour disruption, utility failure or material shortages.
We will take reasonable steps to minimise the impact and update affected customers where practicable.
14. Privacy
Personal information collected through this website or during an order will be handled in accordance with our Privacy Policy and applicable Singapore data-protection laws.
15. Changes to These Terms
We may revise these Terms and Conditions periodically. Updated terms will be published on this page with a revised effective date.
Changes will not retrospectively alter an already confirmed order unless agreed by both parties or required by law.
16. Governing Law
These Terms and Conditions are governed by the laws of Singapore. The parties submit to the jurisdiction of the Singapore courts, unless another dispute-resolution process has been agreed in writing.
